ScansMatter Terms of Service

These Terms of Service ("Terms") govern your access to and use of scansmatter.com and any digital content, account features, support channels, and related services made available by ScansMatter B.V.
By creating an account, accessing the website, downloading content, purchasing credit packs, or otherwise using the services, you agree to these Terms.
1. Operator

2. Eligibility
You must be at least 16 years old to create an account or use the services.
If you use the services on behalf of a company or other legal entity, you confirm that you are authorized to bind that entity to these Terms.
3. Services
ScansMatter provides digital products and related website services, including premium 3D assets, textures, materials, references, and related digital content.
ScansMatter may also discuss or offer custom licenses or custom deals, but any outsourcing, enterprise, or custom service work is governed by separate written agreements that override these Terms where they conflict.
ScansMatter may change, edit, replace, suspend, or remove content, features, or parts of the website at any time.
4. Accounts
A single account is licensed for one seat only, meaning one account may be used by one user seat.
You are responsible for all activity under your account and for keeping your login credentials secure.
ScansMatter may suspend or terminate accounts that violate these Terms, abuse the service, or create legal, technical, or security risks.
5. Credits and purchases
ScansMatter currently offers paid credit packs and may also offer free weekly credits for limited non-commercial use.
Paid credit packs do not expire once purchased, but they are non-refundable.
Free credits are limited to 5 credits per week, do not accumulate, expire if unused, and may only be used on products priced at 5 credits or less.
ScansMatter does not currently offer subscriptions under the intended updated business model, even though older website language may still reference them while public pages are being updated.
6. License types
ScansMatter content is licensed, not sold.
6.1 Non-commercial use
Content obtained through free weekly credits may be used only for non-commercial purposes.
"Non-commercial" means the content may not be used in projects that generate revenue or are otherwise used for commercial gain.
6.2 Commercial use
Content obtained through paid credit packs includes a commercial license only where the company annual revenue or the relevant project budget, whichever is higher, is below 500,000 USD.
If that threshold is exceeded, you must stop using the content in new work and contact ScansMatter for a custom license. Content already incorporated into completed work may remain as-is.
Commercial licenses granted under these Terms are perpetual, subject to compliance with these Terms.
7. AI restrictions
No ScansMatter content may be used for artificial intelligence, machine learning, dataset creation, model training, model fine-tuning, synthetic data generation, or similar uses without ScansMatter's prior written consent and a separate custom license.
This restriction applies to all content made available by ScansMatter, including 3D assets, materials, textures, references, and any other files or content.
Any permitted AI-related use requires a separate written agreement.
8. Seat, project, and sharing rules
The default license is single-seat and tied to one account.
Within a company that lawfully obtained the content, source files may be shared with persons directly employed by that company where necessary for internal production use.
External contractors may receive access only where it is necessary for the specific project for which the license was obtained, and only during that project.
One license per project is sufficient for that project workflow, provided access remains limited to the company and project-specific contractors as described above.
Contractors and collaborators may not reuse the content in any other project.
9. Redistribution restrictions
ScansMatter content may never be directly redistributed, resold, sublicensed, shared publicly, or made available in a way that gives third parties access to the source files.
This prohibition includes redistribution as part of larger downloadable projects, environments, asset packs, templates, plugins, scene files, starter kits, or any other deliverable where end users can access or extract the source files.
You may use content in final works only where the underlying source files are not made accessible to the public or to unauthorized third parties.
10. Refunds
Paid credit packs are non-refundable.
Downloaded digital content is non-refundable, subject to any mandatory rights under applicable law in the European Union or other jurisdictions.
11. Intellectual property
All rights, title, and interest in and to the website and ScansMatter content remain with ScansMatter or its licensors unless expressly stated otherwise.
No rights are granted except the limited licenses expressly described in these Terms.
12. Prohibited conduct
You may not:

Use the services or content in violation of these Terms.

Use ScansMatter content in AI-related workflows without written permission.

Redistribute or expose source files to the public or unauthorized third parties.

Circumvent technical restrictions or account controls.

Use the website unlawfully, fraudulently, or in a way that harms ScansMatter or others.
13. Support and complaints
Support requests, account deletion requests, legal notices, and copyright complaints should be submitted through the contact page at https://scansmatter.com/contact.
ScansMatter aims to address complaints internally first before court proceedings are pursued.
14. Disclaimer
The website, services, and all digital content are provided on an "as is" and "as available" basis to the maximum extent permitted by law.
ScansMatter does not guarantee uninterrupted availability, error-free operation, or that content will be suitable for every intended use.
15. Limitation of liability
To the maximum extent permitted by law, ScansMatter excludes liability for any loss, damage, cost, or claim arising from or related to the website, the services, the content, downloads, business interruption, data loss, project delays, or use or inability to use the content or services.
Nothing in these Terms excludes liability where liability cannot lawfully be excluded under applicable law.
16. Termination
ScansMatter may suspend or terminate access to the website or your account at any time where reasonably necessary, including for breach of these Terms, misuse of content, fraud, security issues, or legal risk.
If access is terminated for breach, any ongoing right to use content may also be suspended or revoked to the extent permitted by law, except where ScansMatter expressly states otherwise.
17. Governing law and disputes
These Terms are governed by the laws of the Netherlands.
The courts of the Netherlands have jurisdiction over disputes relating to these Terms or the services, without prejudice to mandatory rights that may apply under consumer law.
18. Changes to the Terms
ScansMatter may update these Terms from time to time.
Updated Terms become effective when posted on the website unless stated otherwise.
Continued use of the website or services after updated Terms are posted constitutes acceptance of the updated Terms.
