1. Introduction
Welcome to ScansMatter.com (“we,” “us,” or “our”). By using our website and services, including signing up for subscriptions, purchasing credit packs, and making individual purchases, you (“user” or “you”) agree to be bound by these Terms of Service (“Terms”). Please read these Terms carefully before accessing or using the Site. If you do not agree to these Terms, please do not use the Site.

2. Services Provided
ScansMatter.com is a digital marketplace that provides access to 3D models, textures, and complete 3D environments for use in games, movies, architecture, and other digital industries. Access to our content is available through monthly subscriptions, credit packs, or traditional purchase methods. Once purchased, you may download the content directly from our website.

3. Account Requirements
To purchase or download content, you must create a ScansMatter.com account with a valid email address. Subscriptions require an active payment method through our third-party payment provider, Paddle. Users are responsible for keeping their payment information current to avoid interruptions in access to content.

4. Usage Guidelines
By using ScansMatter.com, you agree to the following guidelines:

  • Account Usage: Accounts are for individual use only. Account sharing is not permitted.
  • Content Usage: Users may use downloaded content in their own projects, including commercial projects such as games, films, or architectural designs. However, reselling, redistributing, or directly sharing ScansMatter content, even in modified forms, is prohibited. Content can only be shared as part of a larger, completed project where direct access to the original files is not provided.

5. Payments and Refunds
ScansMatter aims to ensure customer satisfaction while maintaining fair policies for digital content transactions.

1.1 Refund Eligibility

  • 24-48 Hour Window: Refunds may be granted within 48 hours of purchase, provided that the content has not been downloaded. Once content is downloaded, the purchase is considered final and non-refundable.
  • Defective Content: If a purchased asset is found to be defective and ScansMatter is unable to provide a fix or replacement, a refund may be issued at our sole discretion.
  • Determination of Defects: ScansMatter reserves the right to determine whether content is considered defective. Minor technical issues that do not prevent reasonable use of the content shall not qualify for a refund.

1.2 Non-Refundable Situations

  • Refunds will not be issued for accidental purchases, compatibility issues, or change of mind.
  • No refunds will be granted if a user has violated ScansMatter’s Terms of Service.

1.3 Credit Rollover Policy

Subscription credits are non-cumulative and do not roll over into subsequent billing periods. If you are subscribed to a monthly credit plan, your account will be topped up to the designated credit amount at the start of each billing cycle. Unused credits from the previous month will be forfeited and replaced by the new month's credit allocation. It is the responsibility of the user to utilize their credits within the active billing period.

6. Content Ownership and Intellectual Property
All content available on ScansMatter.com is owned by us or has been licensed for use through agreements with third-party sellers. Users may not upload their own content to the Site. While users may publicly display projects using our content (e.g., in images, videos, or games), direct sharing or distribution of ScansMatter files is not allowed. This includes any project files that would grant others access to the original content.

External publishers submitting content to ScansMatter affirm that they hold all necessary rights to license the content and that it does not infringe on any third-party intellectual property. ScansMatter conducts thorough inspections and due diligence to verify that all published content meets legal and licensing standards. However, the ultimate responsibility for the legality, originality, and copyright compliance of the content remains with the external publisher. In the event of any legal disputes or copyright claims, liability rests solely with the respective publisher, and ScansMatter shall not be held accountable. Users are advised to perform their own due diligence when incorporating third-party content into commercial projects.

7. Disclaimer and Limitation of Liability
ScansMatter.com is committed to providing high-quality content and services. However, we do not guarantee that the Site will be error-free or uninterrupted, and we reserve the right to correct any errors in content or pricing as needed. We shall not be held liable for any damages, including incidental or consequential damages, arising from the use or inability to use the Site or its content. Users agree to use the Site at their own risk.

ScansMatter is committed to providing high-quality, legally compliant content and conducts rigorous quality checks to ensure that all externally published content meets industry standards and does not contain known legal or technical issues. However, despite these efforts, ScansMatter cannot guarantee that all third-party content is entirely free from potential legal disputes, copyright concerns, or unforeseen technical flaws. Users acknowledge that all content is provided "as-is" and agree that ScansMatter is not liable for any claims, damages, or losses arising from third-party content, including but not limited to copyright disputes, errors, or omissions. Any legal issues regarding externally published content should be directed to the respective publisher, not ScansMatter.

You agree to indemnify, defend, and hold harmless ScansMatter, its affiliates, employees, officers, directors, licensors, and agents from any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from:

  1. Your use of ScansMatter content in a manner that violates these Terms of Service or Licensing Terms.
  2. Any claim alleging that your use of the content infringes on a third party’s intellectual property rights.
  3. Any breach of warranties made by you, including but not limited to misuse, redistribution, or unauthorized alterations of ScansMatter content.
  4. Any disputes between you and external parties regarding projects incorporating ScansMatter content.

ScansMatter reserves the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate in our defense of such matters.

9. Governing Law and Jurisdiction

For any disputes, claims, or controversies arising out of or relating to these Terms, you and ScansMatter agree to first attempt to resolve the matter informally. If an agreement cannot be reached within 30 days, the dispute shall be settled by binding arbitration.

  • Arbitration will be conducted in accordance with the Netherlands Arbitration Institute (NAI) under its then-current rules.
  • The arbitration shall be held in the Netherlands, unless both parties mutually agree to a different location.
  • Arbitration shall be conducted in English.
  • Each party shall bear its own legal costs, unless the arbitrator determines that legal fees should be awarded to the prevailing party.

By agreeing to arbitration, both parties waive their right to sue in court or participate in class action lawsuits. However, ScansMatter reserves the right to seek injunctive relief in a court of law to prevent misuse of its intellectual property.

ScansMatter Licensing Information

At ScansMatter.com, we offer licenses tailored to meet the diverse needs of our users, ranging from non-commercial projects to professional commercial endeavors. Below, you’ll find a detailed explanation of our licensing terms and conditions.


1. Types of Licenses

ScansMatter provides two primary types of licenses for its digital content:

1.1 Non-Commercial Licenses

  • Purpose: Designed for individuals working on personal, educational, or non-profit projects.
  • Access: Content available under this license can be accessed via credits purchased on our platform.
  • Use: Licensed content may not be used in any project intended for financial gain or commercial purposes unless otherwise stated on the license.

1.2 Commercial Licenses

  • Purpose: Required for projects intended for commercial use or financial gain.
  • Access: Content purchased outright or through commercial credit top-ups qualifies for commercial use.
  • Scope: Ideal for professionals or businesses creating games, videos, advertisements, and other media.

Revenue and Budget Limitations

Some commercial licenses may include specific limitations, such as:

  • Only companies or individuals with annual revenue or project budgets under $250,000 USD are eligible for certain licenses.
  • Additional restrictions or terms will be outlined clearly for applicable licenses.

1.3 Account/License Sharing

Studio License: A studio subscription permits a single ScansMatter account to be shared among up to 10 team members within the same company or organization. Each team member using the account must be an active employee or contractor of the studio. External sharing outside of the organization, including with freelancers or third-party collaborators not directly employed or contracted by the studio, is prohibited.

Enterprise License: An enterprise license grants unlimited account access to ScansMatter for all employees within the organization, provided they are actively part of the company or studio at the time of use. This license does not allow the assets to be shared with subsidiaries, parent companies, or external teams unless expressly permitted by ScansMatter in writing.


2. License Conditions and Restrictions

All content accessed from ScansMatter is subject to the following conditions and restrictions:

2.1 Permitted Uses

  • Licensed content can be modified and incorporated into personal or commercial projects.
  • Content may only be shared as part of a completed project (e.g., a video, game, or image) where the original files are not accessible to third parties.
  • ScansMatter content may be used in commercial or non-commercial interactive applications (e.g., video games, simulations), provided that:
    • The content is embedded within the game and cannot be extracted, downloaded, or redistributed by end users.
    • The game does not allow users to separately access, purchase, or export the raw assets.
    • ScansMatter reserves the right to revoke licenses for any game that fails to meet these conditions.

2.2 Free Content for Small Businesses

Any content available for free on ScansMatter may be used for commercial purposes by companies or individuals with:

  • An annual revenue or project budget of $150.000,00 USD or less.

The revenue threshold for eligibility under ScansMatter’s free and limited commercial licenses is based on the following criteria:

  • Threshold Calculation: The revenue threshold of $150,000 USD (for free content) or $250,000 USD (for limited commercial licenses) applies to gross annual revenue of the individual or business.
  • Scope of Revenue: Gross annual revenue includes total income generated from all business activities, including but not limited to game sales, digital assets, advertising, and external funding.
  • Project-Specific Revenue: If a license is tied to a specific project budget, this includes all financial contributions allocated to the project, such as investments, grants, and sponsorships.

ScansMatter reserves the right to request financial verification to confirm eligibility under these thresholds if it suspects wrong doing.

2.3 Prohibited Uses

  • Reselling or redistributing ScansMatter content in its original or modified form is strictly prohibited.
  • Content cannot be included in templates, asset bundles, or source editable projects made available to third parties.
  • Using ScansMatter content for training, testing, or development of artificial intelligence or machine learning models is prohibited.

In addition to the existing restrictions, external publishers may not distribute their content under alternative licenses outside of ScansMatter in a way that contradicts these terms. Publishers are permitted to distribute their content on other platforms or marketplaces; however, any content specifically prepared, modified, or standardized for ScansMatter—including content integrated into the ScansMatter pipeline—may not be redistributed elsewhere. Additionally, publishers may not use ScansMatter branding, trademarks, or any affiliation in their external distribution or marketing unless explicitly authorized by ScansMatter. Publishers must also ensure that submitted content is not AI-generated, stolen, or otherwise unauthorized.

Further Explanation

ScansMatter assets may be modified and incorporated into larger projects such as video games, films, and simulations. However, users may not redistribute modified or derivative versions of ScansMatter assets as standalone assets under any circumstances. This includes but is not limited to:

  • Reselling, repackaging, or distributing modified versions of ScansMatter assets in any form that allows extraction or reuse.
  • Using modified ScansMatter assets to create competing asset packs, templates, or digital products intended for sale or free distribution.
  • Uploading any ScansMatter content—even if altered or modified—to third-party asset marketplaces such as:
    • Unreal Engine Marketplace
    • Unity Asset Store
    • CGTrader
    • Sketchfab
    • Turbosquid
    • Any other digital marketplace for asset sales

ScansMatter reserves the right to revoke the license of any user found violating this restriction.

2.4 In-Game Use License 

  • ScansMatter & Publishers allow their content to be embedded in interactive applications where users can manipulate game/digital environments (e.g., level editors, customization tools).
  • This license does not allow users the ability to extract or export the raw content from the game.
  • It does allow for the content to be used in applications that include UGC features.
  • Game developers must implement technical protections to ensure that ScansMatter content cannot be easily exported, extracted, or otherwise made accessible to end users. These protections must include, but are not limited to:

    • Encryption of game files to prevent direct access to ScansMatter assets.
    • Restrictions on asset exportation within in-game editors or level design tools.
    • Prevention of file unpacking that would allow users to retrieve standalone ScansMatter assets

Compressing your files into formats that are intentionally difficult to extract—such as game builds from Unity or Unreal Engine, executable (EXE) files, or custom archive formats—also constitutes a form of technical protection.

2.5 Attribution

Attribution is not required but is highly encouraged. Credited works may be featured by ScansMatter, giving creators additional exposure.


3. License Duration and Termination

3.1 Perpetual Rights

  • Once content is downloaded, the license is perpetual, even if your subscription or credit plan ends.
  • You retain the right to use the content in compliance with these terms indefinitely.

3.2 Revocation of License

  • ScansMatter reserves the right to revoke a user’s license to any purchased or downloaded content if the user:

    • Violates the Terms of Service or Licensing Agreement.
    • Engages in unauthorized redistribution, resale, or misuse of content.
    • Uses ScansMatter content in a manner that violates applicable laws, intellectual property rights, or ethical standards.

    1.1 Impact on Existing Projects

    • If a license is revoked, the affected content must be removed from any ongoing or future projects.
    • Previously released projects (games, films, advertisements) that have been made publicly available before the revocation date may continue to use the content, provided the user is not in violation of ScansMatter’s other terms.

    1.2 Content Replacement Efforts

    ScansMatter acknowledges the impact that license revocations may have on ongoing projects. As a result, we will make reasonable efforts to:

    • Provide alternative content to replace revoked assets when possible.
    • Assist users in identifying comparable assets within ScansMatter’s marketplace.
    • Offer case-by-case solutions to minimize disruption for users acting in good faith.

    ScansMatter retains full discretion over the extent and availability of replacement content and reserves the right to deny replacement if the license revocation resulted from intentional misconduct or policy violations.


4. Transferability of Licenses

Licenses are generally non-transferable. However, users may request a license transfer under the following conditions:

  • The request must be made in writing via our support team.
  • Transfers are subject to approval and may require additional terms and conditions.

In the event that a studio, company, or organization undergoes bankruptcy, acquisition, or a merger, the ScansMatter license shall remain valid only for the duration of the period that has already been paid for. After this period ends, a new license must be obtained to continue using ScansMatter content.

The license cannot be transferred to a new entity, owner, or corporate structure without prior written approval from ScansMatter. Any attempt to continue using the assets beyond the pre-paid period without securing a new license will be considered a violation of the licensing agreement.


5. Warranty and Liability

5.1 Quality Assurance

ScansMatter is committed to providing high-quality digital content. If you encounter defective content, please use the “Report a Problem” feature, and we will make reasonable efforts to resolve the issue.

5.2 Disclaimer of Warranty

  • ScansMatter content is provided "as is," and we cannot guarantee compatibility with all systems or use cases.
  • We assume no liability for damages resulting from the use or inability to use our content.

6. Additional Terms

6.1 AI and Emerging Technologies

  • ScansMatter assets may not be used, directly or indirectly, in the training, development, or improvement of artificial intelligence (AI) models, machine learning algorithms, or generative AI tools. This restriction applies to, but is not limited to:

    • AI Training Data – ScansMatter assets may not be included in datasets used for training AI models.
    • Generative AI Models – Users may not use ScansMatter content to create AI-generated variations, including texture synthesis, 3D model generation, or neural rendering.
    • AI-Powered Content Generation – ScansMatter content may not be incorporated into software, platforms, or services that utilize AI for procedural generation, content upscaling, or automated asset creation.
    • Dataset Contributions – Users may not submit ScansMatter assets to public or private datasets, research projects, or third-party repositories used for AI/ML training.

6.2 Compliance with Laws

By using ScansMatter content, you agree to comply with all applicable laws and regulations, including export controls and intellectual property laws.

6.3 Intellectual Property

ScansMatter warrants that the content provided is free from known third-party intellectual property claims. In the event of a claim, ScansMatter will work to resolve the issue or provide an equivalent replacement.
